This Client Service Agreement (the “Agreement”) is between Centurio Solutions LLC (“Centurio,” “we,” “us”) and the Client named above (“Client,” “you”). It covers the services you select in Schedule A (Order Form). Our Terms of Service and Privacy Policy at centuriosolutions.com also apply. If they conflict with this Agreement, this Agreement controls.

1. Services

1.1 What we provide. Centurio provides the services checked in Schedule A, which may include (a) website design and build, (b) a bilingual (English/Spanish) AI voice receptionist and related text-message automations, (c) Website Care Plans, and (d) add-ons. Plan and package details are in Schedule B.

1.2 Scope. We only provide what is listed in Schedule A or in a written change order signed or approved by email by both parties. Anything else is extra work and will be quoted before we start it.

1.3 Platforms we use. We deliver the services using third-party platforms, currently including GoHighLevel/LeadConnector (CRM, websites, calendars, texting), Retell AI (AI voice), and Stripe (payments). We may change platforms to keep the service working well. Each platform has its own terms.

2. Website Services

2.1 Free preview. Before you pay, we build a free preview of your website: your homepage, made with your logo, colors and real business information and working on mobile and desktop, plus one sample section (for example, your services). The other pages of your full site are built after you pay (in full or the first installment). There is no obligation to buy if you do not like it.

2.2 Build and timeline. Delivery takes 3–5 business days on every website plan (Schedule B). It starts once we have (a) the first payment and (b) your complete content, logo, photos and approvals. They are good-faith estimates, not guaranteed deadlines.

2.3 Revisions. Each package includes the revision rounds listed in Schedule B. A revision round is one consolidated list of changes within the agreed design. New pages, features or a new direction are a change order.

2.4 Preview approval and launch. We will share a full-site preview link before launch. Your written approval (email or text is fine) means the preview is accepted. We publish the site after the final payment clears (see Section 5.4).

2.5 Domain. You buy, own and renew your domain, in your own name. If you already own one, you keep it and give us DNS access. If you do not have one, we help you buy it on your setup call, or we buy it on your behalf at cost (no markup), registered in your name. Domain renewals are your responsibility. You keep your domain if services end for any reason.

3. AI Receptionist Services

3.1 Setup. Your AI receptionist goes live in 48 hours or less after you complete your signup form and payment (we aim for the same day, within 24 hours). This depends on you joining the 15-minute connect call (calendar connection, call forwarding and test call); any delay on your side extends the time by the same amount. Setup includes building and training your custom AI agent in English and Spanish, a phone number for the AI, calendar and CRM connections, and test calls.

3.2 Your approval before go-live. You review and approve the greeting, scripts, FAQs and booking rules before the AI answers real callers. You can request changes at any time.

3.3 Minutes and monthly billing. Each AI plan is paid monthly in advance, starting at signing: the first month is charged when you sign, and each later month is charged at the start of its 30-day period. Each payment covers your plan's included minutes for that 30-day period (Schedule B: Starter 200, Growth 500, Pro 1,500). Unused minutes do not roll over. Extra minutes are $0.25 per minute on every plan and are billed on the invoice for the next 30-day billing cycle. You choose on the onboarding form what happens when minutes run out (keep answering and bill overage; keep answering and alert you at 80%; or stop the AI and forward calls to your phone). We will let you know before you reach your limit.

3.4 How calls reach the AI. You keep your current business number. Your phone carrier forwards calls you do not answer to the AI number after a short ring delay (we recommend about 4 rings, roughly 20 seconds). You are responsible for turning on forwarding with your carrier, and we will guide you. If your line has its own voicemail, it must be set to ring longer than the forwarding delay (or be turned off), or voicemail will answer first.

3.5 AI disclosure and transfers. Every call starts with a short recording notice in both English and Spanish (“This call is recorded for quality. / Esta llamada se graba para fines de calidad.”), and the AI says it is a virtual assistant. This notice is always on and cannot be turned off. Callers can ask to leave a message for, or (where your plan includes it) be transferred to, a person.

3.6 Not an emergency service. The AI receptionist is not a 911 or emergency service and must not be relied on to handle emergencies. Your greeting should tell callers with an emergency to hang up and dial 911.

3.7 AI limits. The AI works from the information and rules you approve. No AI is perfect: it can mishear, misunderstand or give an incomplete answer. You agree to review call summaries and tell us about any problem so we can fix the configuration.

3.8 Plan changes. Upgrades take effect in the same billing cycle. Downgrades take effect at your next renewal date.

4. Website Care Plans and Add-ons

4.1 Care ($49 every 30 days, starting on your website's launch day) includes website hosting, SSL certificate, regular backups, security updates and up to 30 minutes of small edits per 30-day cycle. Care + SEO ($99 every 30 days) adds basic local SEO, Google Business Profile updates, a monthly performance report and up to 1 hour of edits per cycle. Unused edit time does not roll over.

4.2 Add-ons. Google Review Requests ($29 every 30 days; included in Growth and Pro) sends a text with your Google review link after a completed appointment. The Website AI Assistant ($50 every 30 days) adds voice and chat AI to your website with 200 web-call minutes per 30-day cycle, then $0.25 per minute.

4.3 Hosting after cancellation. If we host your website and you cancel your Care Plan, the site stays live for 30 days after the cancellation date (the date your cancellation takes effect under Section 7.2). We then take it down on a date we confirm to you in writing. During those 30 days you may request a copy of your site files (see Section 10.4). Your domain is always yours (Section 2.5).

5. Fees and Payment

5.1 Fees. You agree to pay the fees in Schedule A. Prices are in U.S. dollars and do not include taxes, which you pay if they apply. Due at signing: the AI setup fee (unless waived under Section 5.5), the first month of your AI plan, and the first website installment (or the full website price).

5.2 How you pay. Payments are processed through our GoHighLevel payment system connected to Stripe. You authorize us to charge your card or payment method on file for one-time fees, monthly fees in advance at the start of each 30-day billing period (the first at signing), overage minutes on the invoice for the next 30-day billing cycle, and installments when each milestone is reached. Card data is held by the payment processor, not by Centurio. Anniversary billing: AI plans and add-ons are billed every 30 days from your own signup date; Care plans are billed every 30 days from your website's launch day, on their own cycle. There is no proration, and nothing is tied to the 1st of the month.

5.3 AI setup fee. Each AI plan has a one-time setup fee (Starter $247, Growth $497, Pro $747), charged in full at the start, before setup work begins. Setup fees cannot be paid in installments; the payment plan in Section 5.4 applies to websites only. The only exception is the bundle in Section 5.5, where the AI setup fee is waived.

5.4 Website installment plan (optional). Any website can be paid in full or in 3 installments with no interest or extra fees: Installment 1 (one-third) when you sign or order, before work begins; Installment 2 (one-third) when you approve the website preview; Installment 3 (one-third) at launch, before the site is published. Uneven amounts are rounded to whole dollars so the three payments equal the price exactly (for example, $800 = $266 + $267 + $267). You may pay the balance early at any time. The website is not published, and the website files and related assets are not transferred, until the final installment has been received and has cleared. (Your domain is always yours; see Section 2.5.) If an installment fails or is declined, work pauses until it is paid and the timeline moves accordingly. Each installment is non-refundable once it is paid. For example, if you have paid 2 of the 3 installments and then cancel or stop the project, the 2 installments already paid are NOT refundable.

5.5 Bundle. When you buy any website together with any AI plan, the AI setup fee is waived and your first month of Website Care is free. The bundle does not include a free AI month: the first month of your AI plan is still charged at signing.

5.6 Late payment. If a payment fails, we will notify you. If it is not resolved within five (5) business days of that notice, we may pause the services until it is paid. Overdue amounts may accrue interest at 1.5% per month or the maximum rate allowed by North Carolina law, whichever is lower.

5.7 Billing questions. Please raise any billing dispute in writing to [email protected] within thirty (30) days of the charge.

5.8 Price changes. We may change monthly prices with at least 30 days’ written notice. The new price applies from your next billing date after the notice period.

6. No Refunds

All fees paid are non-refundable, including setup fees, monthly fees, overage minutes, add-ons, website fees and installments. Centurio does not offer a money-back guarantee. Before buying, you can try the AI receptionist in a free live demo and see a free website preview, AI plans are month-to-month with no long-term contract, and websites can be paid in 3 installments.

7. Term, Cancellation and Termination

7.1 Term. This Agreement starts on the Effective Date and continues until all services end. Recurring services renew every 30 days (see 5.2), with no long-term commitment.

7.2 Cancellation by you. You can cancel any monthly service by written notice (email is fine). Cancellation takes effect at the end of your current billing period, and fees already paid are not refunded (Section 6). For website projects cancelled after work starts, you pay for work completed to the date of cancellation; installments already paid are not refunded.

7.3 Termination by us. We may suspend or end services by written notice if you (a) do not pay within five (5) business days of a payment notice, (b) breach this Agreement and do not fix it within seven (7) days of notice, or (c) use the services unlawfully, including texting or calling people without required consent.

7.4 When services end. We stop forwarding-related services and you should turn off call forwarding with your carrier right away (we will send instructions). On request within 30 days, we will export your call logs, contacts and leads in a standard format (for example, CSV). You keep your domain. The AI phone number belongs to our telephony account.

8. Your Responsibilities

8.1 Information and content. Provide accurate, complete business information, content, logos and photos on time, and confirm you have the rights to use them. The AI repeats what you tell us, so keep prices, hours and policies up to date.

8.2 Call forwarding and voicemail. Set up and keep active the no-answer call forwarding from your business number to the AI number, tell us your carrier on the onboarding form, set any voicemail to ring longer than the forward, and run the test call with us. You are responsible for your carrier’s charges.

8.3 Text messaging (optional) and registration. Texting your customers is optional, and you do not need an EIN to use Centurio. If you choose texting, U.S. carriers require it to be registered (A2P 10DLC), and we register it for you in one of two ways: (a) as a business, using your EIN, with your legal name and address matching your state business registry and IRS records; or (b) as a sole proprietor, with no EIN or LLC needed, using the owner's legal name, address and a mobile number that receives a one-time verification text. Sole-proprietor registrations have lower daily texting limits. You confirm that the information you give us is accurate, that the people who receive texts on your behalf have given the consent required by law and carrier rules, and that STOP and HELP requests will be honored (our systems process them automatically). Carriers, not Centurio, approve registrations; we do not guarantee approval, approval timing or message delivery.

8.4 Calls, recordings and the law. You approve the AI disclosure in your greeting; the bilingual recording notice in Section 3.5 is always included. You are responsible for complying with the laws that apply to your business and your callers, including call-recording and consent laws (North Carolina is a one-party consent state under N.C. Gen. Stat. § 15A-287, but some states require all parties to consent), telemarketing rules (TCPA) and industry rules. Outbound AI calls are only made with the consent the law requires.

8.5 Regulated businesses. If you are a HIPAA covered entity (for example, a medical or dental office), tell us before setup so we can sign a Business Associate Agreement; we will not start healthcare services without one where it is required. Financial-services clients must tell us if GLBA applies.

8.6 Approvals and contact. Name one decision-maker, give consolidated feedback, and respond to requests within five (5) business days. Delays on your side extend our timelines.

8.7 Account access. Give us the access we need (domain/DNS, Google Business Profile manager access, calendar connection) and keep your own passwords secure.

9. Data, Recordings and Privacy

9.1 Your data. You own your business data, including your leads, contacts, call logs, recordings and transcripts (“Client Data”). We use Client Data only to provide and improve your services, as described in our Privacy Policy. We do not sell it.

9.2 Recordings. Calls handled by the AI may be recorded, transcribed and summarized so you can follow up. Recordings and transcripts are kept for up to 12 months unless Schedule A says otherwise, then deleted, subject to the platforms’ own retention controls and the law.

9.3 Roles. For your callers’ information, you are the business responsible for it and we act as your service provider. We use reasonable safeguards and reputable platforms, and we limit access to people who need it.

9.4 Security incidents. If we learn of a security breach affecting Client Data, we will notify you without unreasonable delay and cooperate with any notice the law requires (see N.C. Gen. Stat. § 75-65).

10. Ownership, Domain and File Transfer

10.1 Your content. You keep ownership of everything you give us. You grant us permission to use it only to deliver the services.

10.2 Your website. When the website is paid in full, ownership of the final, client-specific website design and content transfers to you. Until then, we keep the site unpublished and may withhold the website files and platform access. Your domain is never withheld (see Section 2.5).

10.3 Our tools. We keep ownership of our templates, code libraries, AI prompts and agent configurations, automations, workflows and know-how. While you are a client you may use them as part of your services. You may not copy, resell or reverse-engineer them.

10.4 Handover. After full payment and on request, we will hand over your website in the form the hosting platform allows. Your domain is already registered in your name, so there is nothing to transfer; on request, we remove our DNS access.

10.5 Portfolio. Unless you tell us in writing not to, we may show your website and business name in our portfolio. We will never publish your confidential information or results without your permission.

11. Confidentiality

Each party will keep the other’s non-public business information confidential and use it only for this Agreement, except where disclosure is required by law.

12. Warranties and Disclaimers

12.1 We will perform the services in a professional and workmanlike manner. If something we built does not work as agreed, tell us and we will fix it at no charge.

12.2 Except as stated in this Agreement, the services are provided “as is.” We do not guarantee any specific business results, such as revenue, number of calls, leads, bookings, reviews, search rankings or website traffic. We are not responsible for outages or changes of third-party platforms, carriers or the internet.

13. Limitation of Liability

To the fullest extent allowed by North Carolina law: (a) neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, business or data; and (b) Centurio’s total liability for all claims related to this Agreement will not exceed the fees you actually paid to Centurio in the three (3) months before the event that caused the claim. These limits do not apply to fraud, or to anything that cannot be limited by law.

14. Indemnification

You will defend and indemnify Centurio against third-party claims arising from (a) content or materials you provided, (b) your instructions to the AI, or (c) texts or calls made for your business without legally required consent, except to the extent caused by Centurio’s own negligence or misconduct.

15. Governing Law and Disputes

This Agreement is governed by the laws of the State of North Carolina, without regard to conflict-of-law rules. Before filing any lawsuit, the parties will try in good faith to resolve the dispute by direct negotiation for at least thirty (30) days after written notice. Any lawsuit must be brought in the state or federal courts located in Mecklenburg County, North Carolina, and both parties consent to their jurisdiction. Either party may seek urgent court relief to protect its rights.

16. General Terms

16.1 Entire agreement. This Agreement, its Schedules, any signed change orders, and our Terms of Service and Privacy Policy are the entire agreement. Changes must be in writing and accepted by both parties (email acceptance is fine).

16.2 Independent contractor. Centurio is an independent contractor and may use qualified subcontractors, remaining responsible for their work.

16.3 Notices. Notices may be sent by email to the addresses in this Agreement and are effective when sent, unless a bounce-back is received.

16.4 Force majeure. Neither party is liable for delays caused by events beyond its reasonable control, including carrier or platform outages, power or internet failures, natural disasters or government action.

16.5 Other. If a provision is unenforceable, the rest remains in effect. Neither party may assign this Agreement without the other’s consent, except to a successor of its business. This Agreement may be signed electronically and in counterparts. A Spanish translation is provided for convenience;.
